These Terms apply to:

  • Individual consumers (B2C)

  • Business customers (B2B)

Where the customer acts in a commercial or professional capacity, specific B2B clauses apply and prevail over consumer provisions where legally permitted.


3. Products and Business Model

GAGI SA sells professional cleaning products and related equipment.

Certain products may be supplied through a dropshipping model, meaning goods may be shipped directly from third-party suppliers or international warehouses.

By placing an order, you acknowledge and accept this supply model.


4. Orders and Acceptance

An order becomes binding only after payment confirmation.

GAGI SA reserves the right to:

  • Refuse or cancel orders at its discretion

  • Limit quantities

  • Cancel suspicious or fraudulent transactions

  • Correct pricing errors

In case of cancellation after payment, a full refund will be issued.


5. Pricing and Payment

All prices are displayed in CHF unless otherwise stated.

Payments are processed securely via Shopify Payments.

GAGI SA does not store full credit card information.

We reserve the right to modify prices without prior notice.


6. Delivery and Shipping

Estimated delivery time: 7–12 business days.

Delivery times are indicative and not guaranteed.

Delays may occur due to:

  • International logistics

  • Customs clearance

  • Carrier disruptions

  • Force majeure events

Customers are responsible for providing accurate shipping details.

Customs duties, import taxes, or local charges (if applicable) are the sole responsibility of the customer.


7. Inspection and Acceptance

Customers must inspect goods immediately upon receipt.

Any defects, damages, or discrepancies must be reported in writing within 7 calendar days.

Failure to notify within this period constitutes full acceptance of the goods.

For B2B customers, the inspection obligation is strict and immediate.


8. Returns and Refunds

Returns are accepted within 7 calendar days from delivery.

Conditions:

  • Product must be unused

  • Original packaging must be intact

  • Proof of purchase required

Return shipping costs are borne entirely by the customer.

Refunds are processed within 7 business days after inspection and approval.

GAGI SA reserves the right to refuse returns not meeting these conditions.


9. Dropshipping Disclaimer

Certain products may be fulfilled by third-party suppliers.

GAGI SA does not manufacture all products directly.

We are not liable for:

  • Minor packaging differences

  • Non-material variations in product appearance

  • Delays beyond reasonable control

  • Customs-related delays

  • Carrier-related disruptions

We carefully select suppliers but cannot control third-party operational processes.


10. Limitation of Liability

To the fullest extent permitted by Swiss law:

GAGI SA shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Loss of profits

  • Business interruption

  • Loss of revenue

  • Third-party claims

  • Loss of data

Total liability shall not exceed the purchase price of the specific order giving rise to the claim.


11. B2B Specific Provisions

For customers acting in a professional or commercial capacity:

  • Consumer protection regulations may not apply.

  • Withdrawal rights are excluded unless expressly agreed in writing.

  • Warranty claims must be submitted within 7 days.

  • No implied warranties of merchantability or fitness for a particular purpose are provided beyond mandatory statutory provisions.

  • The customer assumes full responsibility for commercial resale or redistribution.


12. Product Use and Responsibility

Customers are responsible for:

  • Proper and safe use of products

  • Compliance with local regulations

  • Appropriate storage and handling

Products intended for professional cleaning must be used in accordance with instructions.

GAGI SA is not responsible for damages resulting from:

  • Improper use

  • Use outside recommended conditions

  • Combination with incompatible substances

  • Misapplication in industrial or commercial contexts


13. Indemnification

The customer agrees to indemnify and hold harmless GAGI SA from any claims, damages, liabilities, or legal costs arising from:

  • Misuse of products

  • Unauthorized resale

  • Regulatory non-compliance

  • Third-party claims caused by the customer’s conduct


14. Force Majeure

GAGI SA shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Government restrictions

  • War or geopolitical events

  • Pandemic-related disruptions

  • Supply chain breakdowns

  • Transportation interruptions


15. Intellectual Property

All Website content, including logos, images, product descriptions, and branding, is the exclusive property of GAGI SA.

Unauthorized reproduction or commercial use is strictly prohibited.


16. Governing Law and Jurisdiction

These Terms are governed exclusively by Swiss law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Lugano, Switzerland.


17. Amendments

GAGI SA reserves the right to amend these Terms at any time without prior notice.

The version published on the Website at the time of purchase shall apply.
